1. Acceptance of Terms

These Terms of Service (“Terms”) form a binding agreement between you and QUEUP LTD (“we”, “us”, “our”), governing your access to and use of queupltd.com and all related content, features, and services (the “Service”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

Eligibility

You must be at least the age of digital majority in your jurisdiction to use the Service. If you are under that age, you may use the Service only with the involvement and consent of a parent or legal guardian. By using the Service you represent that you meet these requirements.

Accounts

Some features may require an account. You agree to provide accurate and current information, keep your credentials confidential, and notify us promptly of any unauthorised access. You are responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms or applicable law.

Acceptable Use

You agree not to:

  • Engage in misrepresentation, scams, phishing, fraud, deceptive business practices, fake reviews, or pyramid/MLM schemes;
  • Promote or facilitate terrorism, child sexual abuse material (CSAM), human trafficking, illegal weapons, or other content prohibited by Google Publisher Policies and applicable law;
  • Circumvent technical, security, or access-control measures;
  • Use the Service to train competing AI models without our written permission;
  • Misuse advertising on the Service (e.g., generating invalid clicks/impressions, click fraud, encouraging others to click on ads).

User-Generated Content

The Service may allow you to post comments, reviews, submissions, or other content (“UGC”). You are solely responsible for your UGC and any consequences of posting it. By submitting UGC you represent and warrant that:

  • You own or have all necessary rights, licences, and permissions to submit the content;
  • The content does not infringe any third-party intellectual-property, privacy, or publicity right;
  • The content does not violate these Terms, applicable law, or our community guidelines.

We may, but are not obligated to, monitor, edit, or remove UGC at our discretion. We are not responsible for UGC posted by users.

The Service, including all text, graphics, logos, software, and data compilations, is owned by QUEUP LTD or its licensors and is protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal, non-commercial purposes, subject to these Terms.

Your content: You retain ownership of content you submit to the Service. By submitting content, you grant us a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, modify, distribute, and display that content solely for the purpose of operating and improving the Service.

Third-Party Services and Links

The Service may contain links to or integrations with third-party websites, applications, or services that we do not control. We are not responsible for their content, policies, or practices. Your use of third-party services is governed by their own terms.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF MALICIOUS CODE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL QUEUP LTD, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED (100) US DOLLARS.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless QUEUP LTD, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms or applicable law, or (c) your infringement of any third-party right.

Termination

We may suspend or terminate your access to the Service at any time, for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution) will survive termination.

Modifications to the Service and Terms

We may modify, suspend, or discontinue the Service (or any feature) at any time, with or without notice. We may also revise these Terms from time to time. Material changes will be notified via the Site or email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Feedback

If you send us suggestions, ideas, comments, or other feedback about the Service (“Feedback”), you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable licence to use, reproduce, modify, and exploit that Feedback for any purpose, without obligation or compensation to you.

Miscellaneous

These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent; we may assign them freely.
